CONSTITUTION OF THE NORTHERN NEW JERSEY CHAPTER
AMERICAN STATISTICAL ASSOCIATION

ARTICLE I - NAME

This Chapter, non-profit organization, shall be known as
the Northern New Jersey Chapter of the American Statistical Association.

ARTICLE II - PURPOSE

The purpose of this organization shall be to foster in the broadest manner statistics and its applications, and to promote unity and effectiveness of effort among all individuals and groups in the Northern New Jersey area having an interest in, or being concerned with, statistical problems. The activities of the Chapter shall be directed toward the exclusive goals of contributing to the further development of statistical and scientific knowledge and to providing statistical support in public interest matters.

ARTICLE III - MEMBERSHIP

The membership of this organization shall consist of two classes:
  1. Full Members: Persons holding membership in the American Statistical Association.
  2. Associate Members: Persons interested in statistics in general or the organization in particular, who are not also members of the American Statistical Association.

ARTICLE IV - OFFICERS & REPRESENTATIVES

  1. Officer Positions. The officers of this Chapter, who must be full members, shall be a President, a Vice President, a Secretary, and a Treasurer.
  2. Term. All officers shall be duly elected to serve a one-year term which shall begin on June 1 of the election year and terminate on May 31 of the following year. No person other than the secretary and Treasurer shall hold the same office for more than two consecutive terms.
  3. Elections. Elections shall be completed by May 1, and shall be conducted in such a manner as to provide all members an equal opportunity to participate in the voting. The membership shall be provided with a slate of one or more nominations for each elective position to be filled. Formal ballots shall be used in the election and the Election committee shall be responsible for providing, collecting, and counting the ballots and certifying the persons elected.
  4. Duties of Officers.
    • The President shall be the chief executive officer of the Chapter, responsible for coordinating its activities and representing it in its relations to the American Statistical Association or to other organizations. The President shall preside at all business meetings of the Chapter and of the Executive Committee and shall make all necessary appointments with the advice of the Executive Committee and serve as an ex-officio member of all committees
    • The Vice President shall assume the duties of the President in the event of the absence or inability of the latter to serve, and shall discharge such responsibilities as the President may delegate to him.
    • The Secretary shall keep the minutes of all business meetings of the Chapter and the Executive Committee, shall preserve all important records including reports of Committees, shall carry on the official correspondence of the Chapter, shall send all members notices of the annual business meeting and such other communications as the Executive Committee may direct.
    • The Treasurer shall be responsible for the collection of membership dues and any other monies due the Chapter, for the custody of its funds, and for the prompt payment of all bills. Whenever requested by the Executive Committee, the treasurer shall present the chapter's books for audit. The Treasurer shall prepare an annual budget for approval by the Executive Committee and an annual financial report for presentation to the membership.
  5. Council Representative. Every 3 years, a Chapter representative to the American Statistical Association Council of Chapters shall be elected by the Executive Committee. The term of office shall begin on January 1 of the year following election and terminate on December 31 three years hence. Duties of the Chapter Representative shall include representing the Chapter at Council meetings and participating in Council projects. Should the position become vacant prior to termination of the term of office, the Executive Committee shall fill the vacancy for the duration of the term.

ARTICLE V - EXECUTIVE COMMITTEE

  1. Membership. The Executive Committee shall consist of the officers of the Chapter, the last preceding president, and the chairmen of all standing committees. The term of Committee members shall begin on June 1.
  2. Meeting Frequency. The Executive Committee shall meet at least three times a year. Meetings shall be held at the call of the President or on written petition signed by three members of the Executive Committee.
  3. Powers and Duties:
    • The Executive Committee shall pass upon the annual budget as proposed by the Treasurer and shall fix the amount of Chapter dues. It shall also pass upon any proposal for the use of Chapter funds outside the budget or any revision of the budget.
    • It shall be empowered to fill any vacancy among the officers which may occur between elections, except as otherwise provided for in this constitution.
    • It shall authorize the formation of Special Committees as provided in Article VI.
    • It shall pass upon the plans for any project which a Committee or other Chapter group proposes to undertake in the name of the Chapter.
    • No Committee or other Chapter group shall pass any public resolutions, speak for, or take other public action, or contract for expenditures, in the name of the Chapter without approval of the Executive Committee.
    • It shall fix the time and place of the Annual Meeting.
    • The Executive Committee shall conduct such other business as may arise and which is not provided for elsewhere in this constitution.

ARTICLE VI - COMMITTEES

  1. Advisory Committee. The Advisory Committee shall consist of six members, two appointed each year by the President to serve a 3-year term. No person shall serve on both the Advisory Committee and Executive Committee at the same time. Members of the Advisory Committee shall be chosen to represent various institutional affiliations and areas of interest of the Chapter members. The primary function of the Committee shall be to advise the President on those matters which he/she calls to its attention; it shall also be empowered, by simple majority of its members, to intervene in the conduct of Chapter business in behalf of the general membership by calling for a referendum on any matter of concern. The Election Committee shall then be obliged to conduct a general referendum within 30 days.
  2. Standing Committees.
    • Executive Committee. See Article V.
    • Program Committee. The Program Committee shall comprise such members as the President or the Chairperson may appoint. It shall be responsible for the planning and conduct of the Chapter's program of seminars and conferences.
    • Elections Committee. The Elections Committee shall comprise at least five members, two of whom shall be the Vice President and the Secretary. It shall be responsible for the promotion of membership within the Northern New Jersey area.
    • Membership Committee. The Membership Committee shall comprise at least five members, two of whom shall be the Vice President and the Secretary. It shall be responsible for the promotion of membership within the Northern New Jersey area.
    • Constitution Committee. Upon publication of a revised Constitution of its national affiliate, the American Statistical Association, or at the discretion of the Executive committee, a Constitution Committee shall be appointed for the purpose of preparing a revision of this Constitution. The Committee may be dissolved when the Executive Committee determines that a satisfactory revision is obtained.
  3. Special Committees. Special Committees may be established on a temporary basis in order to carry through one project or on a continuing basis in order to carry out a function. When a Special Committee is established, the President or Executive Committee shall designate whether the intention is for it to be temporary or continuing.
  4. Appointment to Committees. The President of the Chapter with the advice of the Executive Committee, shall appoint the Chairperson of each Standing and Special Committee and he shall be an ex-officio member of each. The term of a committee Chairman shall be one year, but a Chairman may be re-appointed to serve a consecutive term. All terms of service shall begin on June 1.

ARTICLE VII - MEETINGS

There shall be four or more regular meetings in one year, including an annual meeting, during which election of officers may be held. The purpose of the meeting shall be to inform the membership of Chapter business and report on its financial status.

ARTICLE VIII - NATIONAL CONSTITUTION

Any and all provisions of the Constitution of the American Statistical Association shall be considered included herein for use where applicable and necessary.

ARTICLE IX - DISSOLUTION

In the event of dissolution of the Northern New Jersey Chapter, the officers shall, after paying or making provision of payment and discharge of all the liabilities of the Northern New Jersey Chapter, distribute all of the remaining net assets of said Chapter to the American Statistical Association exclusively for charitable, scientific, literary, and educational purposes. The American Statistical Association is an exempt organization under Section 501 (c) (3) of the Internal Revenue Code.

ARTICLE X - AMENDMENTS

This Constitution may be amended by an affirmative 2/3 (two-thirds) vote of the Chapter members at any meeting of this organization, provided notices of such meeting and the text of the proposed amendment shall have been sent to each voting member at least 2 weeks before the date of the meeting in which the proposed amendment is to be voted upon; or by action of the Board of Directors of ASA.
